Honeywell International,

Morris Township, NJ, has agreed to acquire Matrikon Inc., Edmonton, for about $142 million. In addition, entities related to Matrikon Pres. and CEO Nizar Somji have also granted an option to Honeywell to acquire their outstanding shares at a price of $4.50 (Canadian)/share, exercisable for 9 months after July 12, 2010. Matrikon will be integrated into Honeywell Process Solutions, part of Honeywell's Automation & Control Solutions group. Matrikon will bring to Honeywell complementary applications that monitor oil and gas well performance, among other industrial applications. Matrikon's cyber-security and alarm management solutions also align with Honeywell's process safety and security solutions.

Matrikon provides software that helps manage production, optimize operations and monitor assets at industrial facilities, including oil and gas production, refining, energy, power, and mining.

Honeywell's Automation & Control Solutions group is a global leader in providing product and service solutions that improve efficiency and profitability, support regulatory compliance, and maintain safe, comfortable environments in homes, buildings, and industry.

Petris Technology Inc.,

Houston, has expanded its presence in Canada by securing the award of an electronic well log management system to Alberta's Energy Resources Conservation Board. The system combines the PetrisWINDS Recall wellbore database and industry-leading applications for petrophysics, geology, and geomechanics with the PetrisWINDS Enterprise data integration system, providing a framework that will integrate with the agency's existing infrastructure. ERCB chose this Petris solution as part of an ongoing plan to improve collection and dissemination of data in regulating the development of provincial energy resources.

Petris is a leading supplier of data management solutions and geosciences applications that integrate data from diverse data stores, including seismic, borehole, production, drilling, and pipeline to enable better decision-making and application transparency.

Baker Hughes,

Houston, has acquired Siberia-based Oilpump Services (OPS). The deal gives Baker Hughes complete geographic service coverage in the heart of the largest electrical submersible pump (ESP) population in the world. Russia has more than 70,000 ESP installations, or 60% of the world total. The acquisition doubles Baker Hughes's share of the Russian ESP market. Prior to the acquisition, Baker Hughes operated its ESP service business from a single base in Noyabrsk. The acquisition adds three full-cycle bases in Nyagen, Nizhnevartovsk, and Megion and four remote field service bases, with the capacity to service more than 10,000 ESP systems.

OPS is the second largest ESP system service company in Western Siberia.

Baker Hughes provides reservoir consulting, drilling, pressure pumping, formation evaluation, completion, and production products and services to the worldwide oil and gas industry.
