Fairfield, Conn., has announced plans to acquire Wellstream Holdings PLC, Newcastle, UK, for $1.3 billion. The deal is expected to close in first quarter 2011, subject to shareholder approval and customary closing conditions. The addition of Wellstream will broaden GE Oil & Gas's extensive subsea production systems equipment and service capabilities, particularly in the floating production, storage, and offloading sector. It also will enhance GE's ability to capitalize on growth in Brazil, Africa, and Asia.
Wellstream is a leading independent designer and manufacturer of high-quality flexible pipeline products, systems, and solutions for oil and gas transportation. It operates manufacturing facilities in Newcastle and Niteroi, Brazil. Its key products include dynamic flexible risers, static flowlines, jumpers, and fluid transfer lines for deepwater and ultradeepwater dynamic environments.
GE is a diversified infrastructure, finance, and media company. Its GE Energy group includes GE Oil & Gas as well as power and water and energy services divisions.

John Wood Group PLC,
Aberdeen, has agreed to acquire PSN Ltd. for $955 million. PSN will merge with Wood Group's production facilities business to create a leading global brownfield production services provider, Wood Group PSN. PSN CEO Bob Keiller will become CEO of the combined production services business, and the deputy CEO will be Les Thomas, currently CEO of Wood Group Production Facilities. Upon completion of the deal, expected in second quarter 2011, Keiller will join the Wood Group board alongside Thomas.
Wood Group PSN will specialize in pre-operations support, commissioning, training, asset integrity, and decommissioning.
PSN is an international energy services company operating in 23 countries that provides brownfield services to customers operating in the oil and gas industry. PSN operated within the KBR division of Halliburton until 2006, when it was purchased by its current management, Bank of Scotland Integrated Finance, and certain other institutional investors.
Wood Group is an international energy services company operating in 50 countries. The group has three divisions-engineering and production facilities, well support, and gas turbine services-that provide engineering, production support, maintenance management and industrial gas turbine overhaul and repair services to the oil and gas and power generation industries worldwide.
CoorsTek Inc.,
Golden, Colo., has acquired Flowguard Ltd., Manchester, UK. Terms of the deal are not disclosed. CoorsTek will retain the Flowguard brand and undertake technical and material innovations to expand market share. CoorsTek will also expand European market coverage of its current petroleum-production-based line of pulsation dampeners and stabilizers with this transaction.
CoorsTek is the largest technical ceramics manufacturer in North America and has facilities in Europe and Asia. Among other products for a wide range of industries, CoorsTek supplies downhole sensors, choke valves, seals, and other components and assemblies made from specialty materials for the oil and gas industry.
Flowguard specializes in the design and construction of hydropneumatic pressure vessels, including pulsation dampeners, suction stabilizers, and surge absorbers for use in subsea oil and gas operations and other critical-duty applications.
